By registering as a contractor on VividSub and checking the acceptance box, you agree to this Agreement.
1. Nature of the Relationship
You are an independent contractor, not an employee of VividSub. VividSub does not control how you perform work, set your prices, or manage your schedule. You are not entitled to employee benefits.
2. Your Representations
You confirm that: you are legally authorized to work in the US, you hold all required licenses and certifications, you maintain valid general liability insurance of at least $1,000,000 per occurrence, all information you provide is truthful and accurate, and you will notify VividSub if your insurance lapses.
3. Platform Rules
All communication before job award must occur through VividSub messaging. You may not solicit or accept work from platform users outside VividSub for 12 months after your last interaction with them. All bids must be genuine and good-faith. You agree to complete accepted jobs in a professional manner.
4. Vetting and Verification
Basic Verified requires active insurance and valid license. Elite Vetted requires all Basic requirements plus background check, references, and portfolio review. VividSub may revoke badges for non-compliance.
5. Fees
Basic tier is free. Elite tier is $49/month or $399/year. Founding member rate is $29/month locked for the first 50 contractors.
6. Prohibited Conduct
You may not: create fake accounts or reviews, misrepresent qualifications, harass other users, use the platform illegally, or bid on jobs you do not intend to complete.
7. Termination
VividSub may suspend or terminate your account for violation of this Agreement, fraudulent activity, insurance lapse, or sustained negative reviews.
8. Limitation of Liability
VividSub's liability is limited to amounts paid to VividSub in the 3 months preceding any claim.
9. Indemnification
You agree to indemnify VividSub from claims arising from work you perform or your violation of this Agreement.
10. Dispute Resolution
Disputes resolved through binding arbitration in Michigan. Class action waiver applies.
11. Governing Law
State of Michigan.
12. Acceptance
By clicking "I Agree" during registration you confirm you have read and agree to this Agreement in its entirety.
